HomeMy WebLinkAbout0053 2. CHARACTER OF THE BUSINESS. The character of the business of
the Partnership shall be to acquire, own, develop, improve, lease,
manage, expand, finance, operate, and sell~the real property described
in the Agreement of August , 1972, and any property subsequently ~
acquired by the partnership, and the purpose of this agreement is to
set out the parties' relationships to each other. The parties' business
relationships~hereunder shall be limited to the acquisition, owner-
ship, development, improvement, leasing, management, expansion,
financing, operation and selling of the property as set out herein,
as an investment and for the production of income; and this agree-
ment shall not be deemed to be or create evidence of the existence
of a corporation, a Massachusetts trust, or any other type of
business trust, or an association in the nature of a corporation.,
The~Partnership shall engage in no other business.
3. TERM OF PARTNERSHIP. The term of the Partnership shall
commence upon the filing of a Certificate of Limited Partnership with
the Secretary of State, State of Florida. It shall continue until
December 31, 1987, and thereafter from year to year, unless terminated
in accordance with provisions hereina~ter stated.
4. REPRESENTATIONS AND WARRANTIES.
A. HARRISON LAND hereby represents and warrants to GOREDCO
that it is a corporation duly organized, vali.dly existinq and in good
standing under the laws of ,the State of Florida; and that it has
full right, power and authority to enter into this agreement, and
