11. MANAGEMENT.
A. The Limited Partner shall not have, nor exercise,
any rights in connection with the management of the Partnership
business. Such management shall in every respect be the full and
complete responsibility of the General Partner alone. The General
Partner will have the full responsibility for development of the
property and will arrange for all financing of any kind whatso-
ever and will carry forth all other responsibil.ities and obligations
of the Partnership. All decisions made for and on behalf of the

~ Partnership by the General Partner shall be binding upon the Partner-
~ ship. Except as expressly otherwise set forth elsewhere in this
~ _ agreement, the General Partner (acting for and on behalf of the
Partnership), in extension and not in limitation of the rights and
powers given it by law or by the other provisions of this agree-
ment, shall, in its sole discretion, have the full and entire right,
power and authority in the management of the partnership business to -
do any and all acts and things necessary, proper, convenient or
advisable to effectu3te the purposes of the Partnership.
B. Without limiting the grant of authority on behalf
