thereunder that (i) at the time or times of the execution and/or j

delivery thereof, the Partnership was in full force and effect, '
(ii) such instrument or document was duly executed in accordance
with the terms and provisior~s of this agreement and is binding
upon the Partnership and all of the partners hereof, and (iii)
the General Partner was duly authorized and empowered to execute and
deliver any and every such instrument or document for and on behalf
of the Partnership.
D. The General Partner shall not be gaid any compensation
for serving as General Partner; however, it shall be fully reimbursed
by the Partnership for any and all out-of-pocket costs and expenses
incurred by such Gei~eral Partner in connection with the management
of the partnership business. Compensation to employees of the -
Partnership and reimbursement to GOREDCO for services of employees
of GOREDGO rendered in connection with Partnership business, shall
be ha~lled as follows: .
(1) All persons who devote all or substantially all of
their working time to the affairs of the Partnership shall be
employees of and receive 1008 of their compenaation from the Partner-
ship, unless GOREDCO shall determine that a person to be employed by
the Partnership may be more advantageously (to the employee) employed
by GOREDCO then such person may be so employed. Thereafter, ~OREDCO
shall direct such person to•devote his full time to the affairs of
the Partnership, and be reimbursed by the Partnership for the total
direct and indirect cost of employing such person.
