days from date hereof and thereafter for each fiscal year, an
annual cash flow projection statement for the Partnership and
such revisions to said statements as may be prepared by the
General Partner for the Partnership.
16. TERMINATION AND DISSOLUTION. ~
A. Any of the following acts shall terminate and
dissolve the.Partnership: ~

(1) The mutual consent of the partners. ~
~ (2) The bankruptcy or insolvency of the General ~

k Partner.
(3) Upon notice by either partner if the other partner
shall fail to perform its obligations hereunder and such failure ~
shall continue for at least thirty (30) days after written notice ~

thereof from the partner claiming such default. '
(4) At the option of the General Partner within a
reasonable time after notice received by it:
(a) that the Limited Partner shall have had filed

against it, pursuant to a statute of the United ,

States or of any state, a petition in bank- ~
ruptcy, or for reorganization, or for the
° appointment of a receiver or trustee of all,

or substantially all of such Limited Partner's

property, and within 30 days thereof such Limited I
