not become a substituted limited partner. If the General Partner
does consent, the assignee shall have the right to become a subs-
titute limited partner upon the payment of a fee of One Hundred
Dollars ($100.00) to the Partnership to cover the costs and
expenses in the preparation, execution, and recordation of an
amendment to the Certificate of Limited Partnership to be signed
and sworn to by the General Partner, by the assigning Limited

Partner ~nd by the assignee, all as may be required by the Uniform ~

Limited Partnership Act as enacted in the State of Florida. The ~
Limited Partner does hereby appoint the General Partner as its ~

~ true and lawful attorney-in-fact for it, in its name or in its

~ behalf to sign, certify under oath and acknowledge any and every~ }
such amendment and to execute whatever further instrument may be i
~
requisite to effect the substitution of a limited partner, such ~
power of attorney being irrevocable so long as the General Partner f

is the general partner of this Partnership. Each of the parties here- ~

to does furthe~ agree, whenever requested to do so, to sign and !
swear to any such amendment and to execute whatever further !

instruments may be required to effect the substitution of a +

limited partner. The General Partner shall attend to the due j

~ execution and recordation of the amendment. Unless named
in this agreement, or unless admitted to the Partnership as above

provided, or unless admitted to the Partnership by the unanimous ~
