the Partnership and in furtherance of the Partnership's interest.
C. GOREDCO shall undertake to have Nat G. Harrison, Jr.
and Elaine A. Harrison released from their personal guaranty of

the hereinafter described mortgage consolidation agreement and
notes secured thereby by substitution of the Limited Partnership there-
for if required by the mortgagee. In any event, GOREDCO hereby
indemnifies and saves harmless Nat G. Harrison, Jr. and Elaine A.
Harrison up to the sum of Two Million ($2,000,000,00) Dollars plus
any additional amounts which may be advanced under the terms of said
mortgage and consolidation agreement dated February 28, 1972 in favor
i of Chase Manhattan Mortgage and Realty Trust, said mortgage being an

~ encumbrance on the Partnership property.

20. AGREEMENT IN COUNTERPARTS. This Agreement may be executed
in several counterparts and as so executed shall constitute one agree-
ment.
21. TERMS OF LEASES. The Partnership shall have the power to
enter into leases for a period of years extending beyond December 31,
1987, and dissolution of the Partnership for any reason will not
shorten the term of any lease entered into by or on behalf of the
Partnership.

~ 22. NOTICES. All notices provided for in this Agreement

set forth below or at such other addresses as the partners shall
