23. GOVERNING LAW. This Agreement shall be construed in
accordance with the laws of the State of Florida, and the situs

~ 24. SUCCESSORS. The terms and conditions of this Agree-

ment shall inure to the benefit of and be binding upon any ~

successor in interest of the partners hereunder, except as may ~
be otherwise provided herein.
25. ENTIRE AGREEDiENT. This Agreement sets forth all (and
is intended by all parties hereto to be an integration of all)
of the promises, agreements, conditions, understandings, warranties
and representations by and between the parties hereto with respect
~ to the Partnership, the Partnership business and the property
~ of the Partnership (excepting only the Agreement of August /.Q,t, 1972)
~ and there are no promises, agreements, conditions, understandings,

warranties or representations, oral or written, express or implied,
~ between them other than as set forth here (excepting the said
