These Articles of Limited Partnership are made and entered into `
by and betti•reen GERALD I~ FRAMCLIN, ED:ti`ARD A: SCHRANK, and NORP~IAN H~
GOLDSTEIN, hereinaf'ter called the "General Partners" and all other
persons, partnerships, corporations, trusts or other entities who or
which shall execute this Agreement and thereby a~ree to contr3bute
to the capital of this partnership and to be bound by the provisions
of these Articles, hereinafter called ~he "Limited Partners"; '

The parties hereby enter ir~to a limited partnership under the
provisions of the Uniform Limited Par~nership la~v oF the State of
Florida, Florida Statute 620, and the rights and liabilities of the
Partners shall b e as provided in that Act and as herein expressly pro-
vided.
