Company authorized the creation and issue of Secured Debentures '

(therein and hereinafter called the "Debentures") subject to the =

terms and conditions contained in the Principal Indenture;
AND WHEREAS by First Supplemental Indenture made as of the =

lst day of March, 1965 (hereinafter called "First Supplemental 's

Indenture") made between the parties hereto, and recorded in Book
'1201, page 40, of the Official Recards of Palm Beach County, Florida,
arid-in Book 156, page 24, of the Official Records of Martin County, 1

Florida, the Company authorized the modification and amendment of the ~
Principal Indenture to provide for the issuance of Debentures totalling,
in the aggregate principal, the amount of $2,750,000; ;

AND WHEREAS by Second Supplemental Indenture made as of `

the 15th day of December, 1965 (hereinafter called "Second Supple- ~
mental Indenture") made between the parties hereto, and recorded in
Book 1306, page 237, of the Official Records of Palm Beach County,
Florida, and in Book 1b8, page 301, of the Official Records of Martin

County, Florida, the Company authorized the modification and amendment ~
