I, ALLAN D. NANNBY, hereby certify that I am the
Secretary of Dickerson, Incorporated, a North Carolina corpora-
tion and, that at a special meeting of the Board of Directors

Resolution was adopted: i
RESOLVED, that all deeds, mortgages, assignments of

mortgage, satisfactions of mortgage, or other instrwnents
dealing with or in real property shall be executed by the
President, or Executive Vice President, W. C. Crowell, Jr., and ~
shall be attested by any Secretary or Assistant Secretary of

the Corporation. -
BE IT FURTHER RESOLVED, that all deeds executed by
Mr. Crowell prior to his appointment as Executive Vice President,
and all deed heretofore attested by any Secretary or Assistant F
Secretary of the Corporation are hereby ratified, approved, and

confirmed.
