option of such successor in interest any Lease not approved by A'Iortgagee,
or ( u) any payment of rent or additional rent for more than two monihs
in advance, or (iu) any amendment or modification of t~ie Lease made
~vithout the consent of the Mortgagee. Each Lease shall also provide that,
upon request by said successor in interest such Iessee shall execute and
deliver to \Zortgagee an instrument or instruments confirming such at-
tornment.
13.2 ItiTON-DISTURBANCE RND ATTORNbiENT BY MORTGAGF.E AND
OTHERS.
(a) Subject to the.conditions specified in subparagraph (b) of this
paragraph 132, Mortgagee will, upon request of Nlortgagor, execute non-
disturbance and attornment agreements with approved lessees of the
1liortgaged Property under Leases approved by Mortgagee which shall
provide that in the event ~iortgagee or any purchaser at foreclosure shall
succeed to the I1lortgagor's interest in the Mortgaged Property, the Leases
of such lessees will remain in full force and effect and be binding upon
Nlortgagee or such purchaser and such lessee as of the date hiortgagee ur
an~~ purchaser at foreclosure shall succeed to the 1~4ortgagor's interest in
the t4lortgaged Property, provided, however, that 14TOrtgagee or such pur-
chaser sh~ll not be liable to such lessees to perform the obligations of
Iblortgagor under such Leases arising prior to the time ntortgagee or.such
purchaser succeeds to diortgagor's interest in the Afortgaged Propertv,
and further pro~rided that such non-disturbance and attornment agree-
ments may be terminated by l~iortgagee or such purchaser at ~Iortgagee's ~
or such purchaser's sale optioii, if any lessee shall becvme in default under
its Lease. -
(b) The ~Ivrtgagee's obligation to etecute the non-disturbance and
attornment agreements provided for in subparagraph ( a) of this paragraph
132 shall Ue subject to conditions as follows: (i) the credii of the lessee
and the terms of the Lease shall be satisfactory to Mortgagee, ( ii ) the
b~Iortgagee shall re~eive a letter, signed hy the Niortgagor and addressed
to the lessee, to be fonvarded to the lessee by the liortgagee giving notice
of the assignment of each Lease provided for herein and ( iii ) be approved
by any !ender to ~vhich this Dlortgage is to be assigned of the esecution of
such an agreement.
