may be proposed either by the Board of Directors or by the ~er~.bers
of the ~',:s~ciation. Directexs and members not pzesent in pers~n er
hy proxy at the meeti.ng considering the amendment may express *~eir
approval in ~~~riting, providing such approval is delivered t~ the
