The ~o~nder of a directo~ in the action of a meeting by signing and concurring in the minutes of that meeting shali constitut~ ttie presence of such director for the purpose of determin~ng a quorum. ~3.11 The presidinq officer of directors' meetinqs shall bP the ~hairman of the Board if such an officer has been elected; and if non~, the President shall p~eside. In the absence of the presiding officer the directors present shall designate one of their nuc~ber to preside. 3.12 The order of business at directors' meetings shall be: ( a ) Calling ~f roll . ~ (b) Praof of due notice of ^aeeting. (c) l~eading and disposal of any unapproved minutes. (d) Reperts of officers and committees. (e) Elect~on of officers. ( f ) Unfinished business. (g) New business. ( h ) Ad j ournmer.t . 3.1s Directors' fePs, if any, shall be determ~ned by members of the Association, and approval of any such fees shall require ; the affirmative vote of nct ?ess than two-thirds_of the entire i membership of the Association, provided, directors designated by S ths Developer, and the first Board of Directors, shall not be ~ entitled to any fees or compensation for their services as directors. ~ 4. Powers and dutie~ af the Board of Directors. All ~f the powers and duties of ±he ~ssociation existing under the Condominium Act, Declaration of Condominium, Articles of Incorporation and these By-Laws shall b~ exercised exclusi~fel;~ 5y the Board cf Directors, its agents, cor.tractors or employees, subject only to approval by condominium unit ~ ~ ovmers where such ap oval is specif.ically required.
