recordatian ~f ~ deed thereto, shall automatically become a me~ber
of thE Manage~ent Association; in the event that the aforssaid
Managemenc Agieemec~t is terminated in a~y manner. Each ~andominium
unit shall be entitled to cast one (1) vote in matter upon which a vote
is required. The'affirmative vote of a majority of the ~embers
constituti~g a quorum shall be necessary to conduct thP buGiness of
the Management Association.
It is recagnized tt:ut the sole purpose ~f the Managemen~
Associ3tion shall be to perform the terms and prcvisions of this
Non-Exclusive Ninety-Nine Year Lease in lieu of the Manager and that
the Lessee shall continue to be entitled to possessary and use inte~est
herein and ~3ke all payments required by this Agreement and be b~und
by its terms and provisions. ~
10. Re airs and Maintenance. Lessee shaJ_] at all times during
the terms o this Lease, at its own expense, make all necessary
repairs and replacements to the Demised Premises and maintain the
same in good condition. This-~covanant shall include t~e obligation
upon the part of the Lessee to replace or renew ~+hen necessa~~ any
item of furniture, fixtures, machinery and equipment and all such
rep~acements and renewals shall be at 12ast equal in quality and
. class to the originai equipment, furnishings, machinery or fixtures.
Air conditioning, pool and other such equipment and machinery shall
be regularly serviced and maintained under appropriate service
contracts. Lessee shall keep and maintain all portions of the
Demised Prernises in clean and orderly condition, free of accumulatien of
dirt and rubbish and pest infestation. All buildings, structures
and improvement, furnit~re, furnishings, fixtures, machinery and
equip~ent now or hereafter replaced or bou~ht, or intended for use
upon the Demised Premises shall be a part thereof and thereby the
property of the Lessor, without payment therefor~ by the Lesscr, and
shall be surrNndered to the Lessor upon the expiration or earlier
termination ef this Lease without cost or charge to the Lessor.
11. Mechanics' Liens. All persons are hereby placed on notice
that the Lessee sha never, under any circumstances, hav~ the.power
to subject the interest of the Lessor in the Demised Premises to uny
i mechanics' or materialments lien or liens of any kindt in the absence
~ of a specific provision to the contrary herein contained authorizing
~ in specific terms the creation of such lien or ~iens. All persons
wh~ may hereafter, during the term of this Lease, furnish work, labo-r,
services or materidl to the premises upon the request or order of ~he
Lessee, or any person clairning under, by or through the Lessee,
shall and must look only to the interest of the Lessee in connection
with payment therefore, and not to the interest of the Lessor.
~ If any mechanics' liens are fiZed or a~serted against the Lessor's
~ inter~st in the Demised~Premises, the Lessee shall, within thirty
(30j ~:ays after the date upon which notice thereof shall come to
its atte?~-~ion, cause such lien to be released from the Lessor'~
interest in the Demised Premises, in the manner provided by the
~ applicable statutes of the State of Florida, failing which, the
Lessor shall have the right ta cause the said lien to be released
in the ma;~r~er provided by the Florida Statutes, and shall have the
right to thereupon charge tl~e costs of having had the said lien
removed and discharged against the Lesspe and as for additional
rent due, said additional rent ~c be due and payabie within fifteen
~ (15) days of the date of notice thereof to the Lessee.
~ 12. Indemnification.
~ a. Lessee covenants and agrees ~vith the Lessor that during
~ the term of this Lease, the Lessee ~vill indemnify and save harmless
~ the Lessor against any and all claims, debts, demands ~r obligations
~ which may be made a~ainst the Lessor, or against Less's title in
~ the premises, arising by reason of or in connec~ion with the making
of this Lease and t~e le~sehold interest hereby created in the
~ Lessee, and if it becomes necessary for the Lessor to defer.d any
~ actian seek~ng to impose such liability the Lessee will pay the
~ L~ssor all co~ts of court and atternPy's fees incurred in
~ cor.nection ~~.~th any such defense, in addition to any other sums
~ which the Lessor may be called upon to pay by reason of entry of
~ a?udgmer~t agai~st the Lessor in iitigation in which such claim
~ is assertPd.
