23. The rights, privileges, obligations and covenants of -
the Developer -and the Service Company shall survive the completion
of the work of the parties with respect to installation of the ~
facilities aad services to the~property. This Agreement shall be
binding upon and shall inure to the benefit of Developer, the
Service Company and their respective assigns and successors ny
merger, consolidation, conveyance or otherwise. 5ervice Company
ia hereby granted the right to assign this Agreement to its parent
corporation or any subsidiary of the parent now in existence or
hereafter formed. However, in the event Developer has not paid ;
and delivered to Service Company the contributions i.n aid of '
construction provided to be paid Service Company by Developer under
the terms of this Agreement, then this Agreement shall not be sold,
conveyed, assigned, transferred or otherwise disposed of by Devel- ~
oper without the written consent of Service Company first having :
been obtained. However, Service Company agrees not to unreasonabl.y
withhold such consent.
; - 24. In the event that performance of this Agreement by
" either party is prevented or interrupted in consequence of any
~ cause beyond the control of said garty, including but not limited
to Act of God or of the public enemy, war, national emergency,
allocation of or other governmental restrictions upon the use or ~
availability of labor or materials, rationing, civil -insurrection,
riot, racial or civi,l rights disorder or demonstration, strike,
embargo, flood, tidal wave, fire, explosion, bomb detonation,
nuclear fallout, windstorm, hurricane, earthquake, or other •
casualty, disaster, or catastrophe, failure or breakdown of ~
pumping, transmission or otY.er facilities, exercise of the power ;
of Eminent Domain, governmental rules or acts or orders or re-
strictions or regulations or'requirements, act or action of any -
government or public or governmental authority or coma-nission or '
~ board of agency or agent or official or officer, or the enactnent
~ or passage or adoption heretofore or hereafter, or the enforce-
ment of any statute or ordinance or resolution or regulation or
~ rule or ruling order, or the process or order or decree or judgerr~ent ,
~ or restraining order or injunction of any court, said party shall
~ not be liable for such non-performance.
