WHEREAS, V.S.H. R~ALTY, INC., a Rhode Island corporation,
hereina ef'~~e~erred to as the "LESSOR" and CUMBERLAND FARMS FOOD
STORES, INC., a Florida corporation hereinafter referred to as
; the "LESSEE" entered into a iease on September 20, 197t covering '
~f the following described premises: ~
j` "Being a one-story, one-unit concrete block and
; masonry building measuring in total 1,9'l5 s quare
feet and located at~~U. S. #1 a~nd Airport Road,
St. Iucie, Florida.
For a term of ten (10) years commencing on October 1, ~
1972 and ending on Septeanber 30, 1982, a copy of said lease is 4
annexed hereto and made a part of this assigruuent; and, ~

WHEREAS, the Lessor is to sign a note in favor of the
First Nat ona of Fort Pierce, Fort Pierce, Florida in the ~
amount of Fifty-Two Thousand ($52,000) Dollars repayable over
ten (10) years with interest at the rate of eight (8~) per cent,
per an~, principal and interest payable monthly and will give
said bank a mortgage as security, said mortgage to be recorded
~ in the Official Record Book of St. Lucie County. ~

; ~JHEREAS, in consideration of One Dollar and other valu- ~
able consi-''
e~tion, in the event-•the Lessor is in default ot its
monthly mortgage payments to the First National Bank of Fort
Pierce, Fort Pierce, Florida, the Lessor assigns aIl its right,
title and interest in the aforementioned lease to the said bank
to the extent of the rent due and owing under the above described
indenture and it is hereby agreed by and between the parties_
hereto that this Conditional Assignment becomes a part of:s~f~d
~ lease. The Lessee hereby agrees to subordinate said 1Qass,,.~e`~.
the aforementioned mortgage. -
