and.any body politic succeeding by law to the functions and
responsibilities of the Issuer shaZl have all of the rights,
privileges, and powers qranted hereunder to the Issuer, and
shall have the right to rely upon this Guaranty in the same
manner and with the same effect as if the Issuer, its governing
body or members thereof, and any successor body politic were
specifically named as the guaranteed party herein.
Section 10. GUARANTY EXTENDS TO COMPANY'S SUCCESSORS.
This Guaranty is totally unconditional and unlimited in respect
of the Company's obligations under the Agreement, and it is
hereby expressly agreed by Di Giorgio.that this Guaranty shall
be in fu11 force and effect in respect to any surviving,
resulting or successor corporations or business entities into
which the Company may merge, combine or consolidate as it is in
full £orce and effect in respect to the Company.
Section 11. NOTICE. Any notice to be given hereunder
to any party shall be served by registered mail addressed
to such party at its business address, and shall be deemed
served when deposi~ed in any post office or branch post office
maintained by the United States Goverriment.
Section 12. WAIVER OF JURY TRIAL. All of the parties hereby
waive trial by jury and the right to trial by jury in alI
actions or proceedings in any court, whether arising out of,
under, or by reason of this Agreement, or its vaZidity or
interpretation, or any other matter, cause, or thinq what-
soever in connection therewith.
~Section 13. CONSTRUCTION. This Agreement is made
in the State of Florida and shall be governed by and construed
and interpreted in accordance with the laws of the State of
Florida. . ~
IN WITNESS WHEREOF, The Di Giorgio Corporation has
caused this Unconditional Guaranty to be executed in its
corporate name and its corporate seal to be hereunto
affixed and attested by its duly_ authorized officers, all "
