who upon their several oaths acknowledged themselves to be
the Vice President and Secretary, respectively, of the Di Giorgio '
Corporation, the within named guarantor; that they as such ;
Vice President and Secretary being authorized so to do,
executed the foregoing instrument for the purpose therein
contained by signing the name of said corporation; that they
know the seal of said corporation, that the seal affixed to
said instrument is such corporate~seal, that it was so affixed
by order of the Board of Directors of said corporation, and
that each of them signed his name thereto by like order.

ASSIGNMENT OF UNCONDITIONAL GUARANTY #

KNOW ALL MEN BY THESE PRESENTS that St. Lucie County, '
Florida, a political subdivision of the State of Florida,
(hereinafter called the "Assignor" or the "Issuer the
guaranteed party under a certain Unconditional Guaranty
executed by the Di Giorgio Corporation~and guarantying
payment to the Assignor of the duties and obligations of ~ '
TreeSweet Products Co. under an Installment Purchase Trust ~
Agreement dated as of December l, 1972, said Unconditional ~
Guaranty dated as of December 1, 1972, in consideration
of the sum of Ten Dollars ($10.00) paid by Barnett Bank
of Jacksonville, National Association, the receipt of which
is hereby acknowledged, and other good and valuable considerations,
hereby assigns and transfers to Barnett Bank of Jacksonville,
National Association, as Trustee and Assignee, the above-
described Unconditional~Guaranty, and all of the Issuer's -
rights and interest thereunder together with all rights
and obligations of TreeSweet Products Co., guaranteed by
said Unconditional Guaranty, and the money due and to become '
due thereon as provided in said Unconditional Guaranty;
TO HAVE AND TO HOLD the same unto Barnett Bank of
JacksonvilZe, National Association, and its successors
and assigns forever,
IN WITNESS WHEREOF, St. Lucie County has caused this
Assignment of Unconditional Guaranty to be signed in its
name by its Chairman, attested by its Clerk or Deputy Clerk,
and its corporate seal to be affixed all as of the lst
day of December, 1972, but actually executed and delivered
by the Assignor this day of ,
