Assignee to Assignor of certain monies and/or the grant of certain
credits in accordance with said Purchase Agreement. The purposes
of the execution and delivery of this Assignment of Mortqage
.are to assign, transfer and set over to Assignee all of Assignor's
right, title and interest in, to and under said Mortgage and
to carry out in part Assignor's undertakings under said Purchase
Agreement. ~
