ASSIGNMENT OF MORTGAGE ~~~5 a' ;

For valuable consideration, the receipt and adequacy of which
~
are acknowledged, Exxon Corporation, a New Jersey corporation, f
Successor to Humble Oil & Refining Company, a Delaware corporation
("Assignor"), hereby assigns, sets over and transfers to The Northern
Trust Company ("Assignee") all of its right, title and interest
in, to and under that certain Mortgage executed on September 29,
1970, by HAROLD L. NESTER, SR., and wife, MYRTLE B. NESTER;
HAROLD L. NESTER, JR., and wife, MARILYNN D. NESTER, and covering .
that certain parcel of land or real estate located in the City of
Fort Pierce, County of St. Lucie, State of Florida, as more particu-
larly described in Exhibit "A" attached hereto and made.a part
hereof .
Concurrently with the delivery to Assignee of this Assign-
ment of Mortgage, Assicjnor is delivering to Assignee that certain
Promissory Note or Note dated September 29, 1970, and executed
by HAROLD L. NESTER, SR:, and wife, MYRTLE B. NESTER; HAROLD L.
NESTER, JR., and wife, MARILYNN D. NESTER, jointly and severally,
as Maker(s), in favor of Humble Oil & Refining Company, as Payee,
which Promissory Note or Note Assignor has endorsed over to Assignee.
This Assignment of Mortgage is made without warranty or recourse
against Assignor or its successors and/or assigns, but is subject
to that certain unrecorded Purchase Agreement dated February 6, 1973,
between Exxon Corporation and Assignee.
, The consideration for the execution and delivery of this
Assignment of Mortgage and for the endorsement and delivery of
said Promissory Note or Note to Assignee is the payment by Assignee
to Assignor of certain monies and/or the grant of certain credits
in accordance with said Purchase Agreement. The purposes of the
execution and delivery of this Assignment of Mortgage_are to assign,
transfer and set over to Assignee all of Assignor's right, title
and interest in, to and under said Mortgage and to,carry out in
part Assignor's undertakings under said Purchase Agreement.
