of the Grantors or, in the alternative, the Grantee shall relocate
such easement on Grantor's property in a location to be mutually
determined by the parties hereto, either option at Grantors' sole
discretion.

Grantee holds harmless Grantor in construction, maintenance ~
and operation of the Easement and its use, and Grantee shall fully
comply with all state and county regulations.
All expenses for construction, maintenance and operation
shall be Grantee's sole responsibility. _
All covenants, terms and_provisions and conditions hereof
shal'1 inure to the benefit of and be binding upon the parties hereto
and their respective heirs_, successors or assigns.
