INC., and
WHEREAS, D& E GROVES, INC., has agreed to assume the re-
sponsibilities for full payment of all sums due under the note
and mortgage given to the Florida Bank at Fort Pierce, and
WHEREAS, D& E GROVES, INC., a Florida corporation, has
agreed to hold the W'hitakers harmless under said note and -
mortqage. it is hereby atipulated and agreed as follows: ~
WHSREAS, D& E GROVES, INC., a Florida corporation, does
hereby undertake.to perform the duties and responsibi2ities and
all obligations under that note and mortgage described above to
the Florida Bank at Fort Pierce; and further
To perforn? in every way and to the same extent as if
D& E GROVES, INC., a Florida corporation, were the maker of
said promissory note and as the original mortgagor and to perform
said obligations in lieu of COLIE B. WHITAKER, JR. and NINA BELL
WHITARER, his wife, which D& E GROVES, INC., agree to hold harmless ~
from any duties under said note and mortgage; and it is further agreed
That the Florida Bank at Fort Pierce does hereby release
and discharge COLIE B.WHITARER, JR. and NINA BELL WAITARER, his
wife, from all claims, obligations and demands which may arise
or have arisen in respect to said promissory note and mortgage
described above; and it is further agreed
~ That the Florida Bank at Fort Pierce accepts the liability
of D& E GROVES, INC., on the note and mortgage in lieu of
~ COLIE B. WHITARER, JR. and NINA BELL WHITARER, his wife, and
' agrees to be bound by the terms oE the note and mortgage in
every way as if D& E GROVES, INC., a Florida corporation,were
the original maker of said note and were the original nbrtgagor;
and it is further agreed
That COLIE B. WH~TARER, JR. and NINA BELL WHITAKER, his wife,
hereby agree to the substitution of D& E GROVES. INC., a Florida
corporation as the par~y responsible for all monies due under that
` certain note and mortgage described above to the Florida Bank at
