THIS ASSIGAIl~NT, made this 29th day of Mav ,

t973, by II~1bIAN RIVER FOODS, INC., a Florida corporation, having
an address of P. 0. Box 1749, Ft. Pierce, Florida 33340, herein-
after referred to as "Assignor" to JOHN HANCOCK MUTUAL LIFE INSUR-
ANCS COMPANY, a Massachusetts corporation, having an address at

200 Berkeley Street, Boston, Massachusetts 02117, hereinafter
referred to as "Assignee",

For value received, the Assignor hereby grants, transfers,
assigns and sets over to the Assignee that certain Agreement dated
the 30th day of June, 1967, made by and between Assignor and CITRUS
PULP CO., a Florida corporation, which Agreement was recorded in
Official Records Book 180 at page 2813 of the Public Records of St.
Lucie County, Florida, and a true copy of which said Agreement
designated Bxhibit "A" is attached hereto and by reference expressly
made a part hereof. .
To have and to hold the same including -all rights with

regard to the option to purchase contained in Paragraph A.S. of
~ said Agreement, subject to the terms and conditions hereinafter
~ set forth. ;

~ It is understood and agreed, however, and specifically
made a part of this Assig~ent that this Assig~ent is not to
operate unless and until when, as and if there"is a default existing

beyond any applicable.grace period in connection with the payment
of principal or interest or in Che observance or performance of any -
of the terms and conditions of that certain mortgage and the prom-
issory note (from Assignor to Assignee) secured thereby evidencing ~ •
