~ THIS AGREEMENT made and entered into as of the day of

, 1973, by and among EXXON CORPORATION (successor
by merger to HUMBLE OIL & REFINING C~OMPANY), hereinafter called
"Exxon"; JAMES W. STEIL, hereinafter called "Steil"; and RICHARD J.
~ CORY, hereinafter called "Cory"
W ITNESSETH :
WHEREAS, by LEASE dated November 17, 1961, 321 CORPORATION
leased to REGAL PETROLEUM CORP, the following described premises, to-wit:
Beginning 30 feet South and 138. 1 feet West of the
Northeast cor~er of SW 1/ 4 of NE 1/ 4 of NW 1/ 4 of
Section 8, Township 35 South, Range 40 East, and
on the South line of Avenue "D", run West 150 feet .
to the Easterly right-of-way of Angle Road _(said
Easterly right-of-way being 50 £eet distant from the
center-line measured at right angles thereto), thence
Southeasterly along Easterly right-of-way of Angle
Road 150 feet, thence Northeasterly 134.0 feet to
the point of beginning. Said property being in the
Town of Fort Pierce, County of St. Lucie, State of

WHEREAS, a MEMORANDUM OF LEASE describiag the aforesaid LEASE
was recorded in Book 24, page 374 of ttie Official Records of St. Lucie County.,
Florida, reference to which is made for all purposes, and

; WHEREAS, by ASSIGNMENT OF LEASE, executed as of November 20,

1861, REGAL PETROLEUM CQRP, assigned its interest as Lessee in the
aforementioned LEASE to HUMBLE CIL & REFINING COMPANY, said
ASSIGNMENT being recorded in Book 24, page 377 of the Official Records of

St. Lucie County, Florida, reference to which is made for all purposes, and
WHEREAS, by ASSIGNMENT OF LEASE dated March 15, 1966, HIJMBLE
