payment of a certain promissory note of even date herewith, executed
and delivered by the Assignor to Sun Bank to secure the paym~nt of

the principal sum of $118,709.89 and interest.
2) The Assignor covenants that there is now owing upon the promissory
note, mortgage and Mortgage Modification Agreement hereby assigned
without offset or defense of any kind, the principal sum of $118,709.89
with interest thereon at the rate of 696 per annum from the 14th day
of May, 1973, ~
