real and personal, of every nature and wheresoever situate,
of which I may die sEized or possessed, specifically in-
cluding the proceeds of any policies of insurance on my
life which are payable to my Executors or my estate, I
qive, devise and bequeath to the Trustee under that certain
Indenture of Trust executed by me as Grantor, on the ~
day of Auqust, 1967, wherein LORETTA D. SANFORD is Trustee.
ITEM IV.
I hereby nominate, constitute and appoint the
said LORETTA D. SANFORD as Executrix of this my Last Will

and Testament, and direct that she shall serve without
bond. In the event that the said LORETTA D. SANFORD shall
predecease me, shall £ail to qualify, shall elect not to
serve, or shall be unable to continue servinq as Executrix
for any reason whatsoever after having been appointed, then
I hereby nominate and appoint my son, PHILIP SANFORD, as #

alternate Executor and direct that he shall serve without
bond.
I direct that my Executrix, or her alternate, shall
have sole power at her discretion to do any and all things

necessary to the complete administration of my estate, in-- `
cluding but not limited to the following powers: ~ -
1. To improve, manage, protect, exchange,
~ sell at public or priyate sale, lease, mortqaqe, transfer
~
` or otherwise deal with ariy real, personal or other property
~
G belonging to my estate, and without any order of Court.

_ 2. To compromise, adjust, arbitrate, sue
on or defend, or otherwise deal with and settle claims
~ in favor of or against my estate, as my Executrix shall

deem advisable, and her decision shall be conclusive.
