fourteen (lu) days after receipt of the offer, as to whether ~

he re3ects or accepts such offer. Such offer shall be deemed
to have been re~ected by any Member whose acceptance of the same
is not received by the General Partner by the end of the afore-
said fourteen (14) day period. Any tdember (hereinafter referred
to as a"Purchasing I'~iemb~r") desiring to purch2se less than
the entire interest offered shall set forth in his le~ter of
acceptance the number of Units tvhich such Purchasing Member
~ is willing to purchase, if available.
2. In the event that the aggregate total of Units accepted,
as aforesaid, by the Purchasing P~iembers is less than the entire
Units offered by the Seller, the Seller shall have the right
to sell the entire Units so offered to the original offerer
within twenty-eight (28) days from ~he date of delivery or
mailing of the terms of the original offer to the Merabers, pro- '
vided that s:~ch sale is rr.ade strictly in accordance with the
terms of tr~ c»iginal offer as sub~r.itted to the Members.
3. ~n t^e event that the 2ggregate total of the Units
2ccep~ed 2s aforesaid by the Purchasing Members is equal to the
~ntirz ;nte=est offered by the Seller, the Seller shall be
de~~ed bosnd to sell to the Purchasing Members the entire in-
~
terest offered, and the Purchasing blembers shall be deemed
severall;~ bound to purchase the number of Units which each of
~hem has accepted. ~

i 4. In the event that the aggregate total of tha Units

allocate among the Purchasing Members the Units offered by the
