in his nar,ie, place and stead; to make, execute, acknowledge,
file and record:
~ 1. A Certificate of Limited Partnership, as well as
amendments thereto, under the laws of the State of Florida;
and
~ 2. Any certificate or other lnstrument cvhich may be
required to be filed by the Limited Partnership under the laws
of any state or by any governmental agency, or which the
General Partner deems it advisable to file as well as araend-
ments thereta; and
3. Any docl.unents and aiaendments thereto which may be
required to effect the admission of a Substituted Limited
Partner, or the dissolution and termination of the Limited
Partnership, ~rovided such adra3ssion or dissolution and ter-
mination are in accordance with the terms of this Agreement; and
4. ~r_;; i r_struments of transf.er and conveyance, including
but not 1_..._~~d to deeds, notes, mortgages, security instru-
Ments o: ~ind, leases and any other instruments in con-
nection ~he activi~ies of the Limited Partnership; it -
being exo»sss?;~ uriderstood and intended by the Limited Partners ~
that thz foregoing power of attorney is coupled with an interest,
is irrevocable, and shall survive the death of the Limited '
Partner.
The foregoin~ power of attorr.ey sha21 survive the delivery
of an assignment by the Limited Partner of the whole or any
; portion of his limited partnsrship interest, except that where

an assignee of such limited partnership interest has been
~ approved by the General Partner as a Substituted Limited Partner,

Partner, shall survive the delivery of such assignment for the
