change Agent for the coinmon stock of, the Surviving Corporation, and each such

all corporate purposes to evidence the o~vnership of the shares of common stock
of the Surviving Corparation iato which the shares of the Missouri Corporation
common stock shall have been so converted. '
C. As soon as practicable after the effective date of this merger, but
in no event more than thirty (30) days thereafter, any holder of common stock '

of the Missouri Corporation who shall be entitled to receive a fraction of a share
of common stock of the Florida Corporation may, provided he shall have surren-

dered such stock certificate or certificates, purchase the additional fraction of '
a~share of common stock of the Florida Corporation required to make up a full
share, or sell the Florida C~rporation the fraction to which he is entitled.

perty, real, personal and mixed, and all debts due on whatever account, in-
cluding subscriptions to shares and all other choses in action, and all and '
every other interest and asset of or belonging to or due to each o£ the Consti-

~ tuent Corporations shall be taken and deemed to be transferred to and vested
~ in, and shall vest in, the Surviving Corporation withaut further act or deed;
