4. Barnett-Winston Investment Trust is an unincorporated
business trust organized under the laws of the State of Florida
pursuant to a Declaration of Trust dated April 21, 1972, as amended -
or amended and restated from time to time (the "Declaration"), a
copy of which, toqether with all amendments thereto or amendments
and restatements thereof, is on file with the Secretary of State of
the State of Florida. The Declaration provides that the name ~
"Barnett-Winston Investment Trust" refers to the Trustees under
the Declaration, as Trustees, and not individually or personally,
and no Trustee, Shareholder, of£icer, employee or agent of the
Trust shall be held to any personal liability hereunder nor shall
resort be had to their private property for the satisfaction of
any claims hereunder, or in connection with the affairs of the
Trust, but only the Trust Property shall be liable.
IN WITNESS WHEREOF, Obligee has executed this Agreement
on the day and year first above written.
