UNDER AN INDENTURE OF LEASS '

WHEREAS, V.S.H. REALTY, INC., a Rhode Island corporation, ;
~ here3nafter referred to a~ the "LESSOR" and CUMBERLAND FARMS FOOD'
; STORES, INC., a Florida corporation hereinafter referred to as
~ the "LESSEE" entered into a lease on September 20, 1972 covering
the Pollowing described premises:

"Being a one-story, tNO-u»it concrete block and ~
masonry building measur3ng in total 4,800 square ;
feet and located at U.S. A~l and Palm Avenue, Ft, i
Pierce, Florida." '

For a term of ten (10) years commencing on December l, ;
1972 and ending on November 30, 1982, a copy of said lease is ~
annexed hereto and made a part_ of this assignment; and,

WIiEREAS, the Lessor is to sign a note in favor of the ~
First Natlonal Bank of Fort Pierce, Fort Pierce, Florida in the !
amount of Ninety-Two Thousand Five Nundred (~92,500~) Dollars re- `
~ payable over ten (10) years with interest at the rate of eight ~
,(8x) per_cent, per annum, principal and interest payable monthly ~
and will give said bank a mortgage as security, said mortgage ~
to be recorded in the OfPicial Record Book oP St. Lucie County. ~
W~ AS, in consideration of One Dollar and other valuable i
consideration, in the event the Lessor is in default of its ~
: monthly mortgage payments to the First National Bank of Fort '
Pierce, Fort Pierce, Florida, the Lessor assigns all its right, !
title and interest in the aPorementioned lease to the said bank i
to the eatent of the rent due and owing under the above descr#bed;
indenture and it is hereby agreed by and between the parties ~

hereto that this Conditional Assigriment becomes a part oP said ;
lease. The Lessee hereby agrees to subordinate said lease.t4 ;
the aforementioned mortgage.
