40. Any provision of this Mortgage to the contrary notwitf~- ~

standing, Mortgagee shall not have the eight to exercise any of ~

unless and until (a) Mortgagor defaults in th~ payment of principal
or interest or is chargeable with :ar~y other default which can be `

(5) days after Mortgagee shall have given written notice thereof
to Mortgagor, or (b) Mortgagor defautts in tt~e performance of any
of Mor~tgagor's other obiigations, covenants and agreements here-
