wNEREAS, FIRST NATIONAL CITY 6ANK, a natianal banking associa-
tion organized under the laws of the United States of America, is
~ now the owner and holder by assignment of the following mortgages ;

Mortgage Investors, a MassacF~usetts Business Trust, securing
55,100,000.00 and recorded in Officiai Record Book i87, Page
- 2405, et seq., Public Records of St. Lucie County, Florida,
encumbering certain iands in St. Lncie County, Florida therein
nwre particularly described; as amended by Modification of
, Mortgage Deed, dated October 4, 1972, amending the sum secured
by an additional principal indebtedness of ~1,112,392.Q0 and
also encumbering other lands in Polk County, Florida, which
Modification of Mortgage Deed was recorded in Official Record
Book 207, Page 861, et seq., Public Records of St. Lucie
County, Florida, and as furth~r amended by Mortgage Modifica- -
tion and Extension Agreement, dated June 27, i973 and recorded
in Official Record Book 2i6, Page 265, Public Records of St.

WHEREAS, Outdoor Resorts of America has requested First National ~
City Bank to release the property hereinafter described, being a 4

NOW, THEREFORE, First National City Bank, in cons~deration of
