a. The executive officers~ef the ASSOCIATIOh shall be a
President W~10 shall l~e a Director, a Vice-President,
who shalt be a Director, a'I're~?sui~er, a Secretary an:l
an Assistant Secretary, all of whom shall be clected
annually by the Board of Directors and who may be per-
emptorily remo~red by vote of the Directors at any
meeting. Any person may hvld two or more offices, ex-
cept that the President shzll not also be the 5ecretary
or an Assistant Secretary. 'The ~ioard of Directors
~ shall from time to time elect such other officers and
desig»ate~their powers and duties as the Board shall
find to be re~uired ta manage t)ie affairs of the
ASSOC IA'1' I ON .
b. The President shall be the chief executive officer of
the ASSOCIATIO~. He shall ha~~e all oE the powers and '
duties which are usually vested in the office of Presi- ~
dent of an association, including but not limited to
the power to appoint committees fram among the members
from time to time, as~he may iii his discretion detex- ;
miiic appropriate, to assist in the conduct of the ;
affairs of t.he ASSCCtATIOti.
e. The Vice-President s1iall, in the absence or disability g
of the President, exercise the powers and perform the
duties of President. ite shal2 also generally assist ;
the Pre~ident and exercise sz~ch other pvwers and per- '
form such other dutics as shall he prescribed by the '
Directors. ~ . :
d. The 5ecretary shall keep the Minutes of all Proceedings _
of tlie Directors ancl the Members. )te Shall attend to
the giving and servin~ of all notices to the Members
; and Directors, and such ather notices required by law.
~ He shal2 have custody of the seal of the ASSOCIATION ~
~ and affix the same to instruments rec{uiring a seal when ~
~ dul~~ signed. t~e shall keep the records of the ASSOCI- ~
A'fION, except those of the Treasurer, and $hall perform ~
~ all other dutirs incident to t.he office of Secretary of ~
€ an Associ_ation and as may be required by the Directors
~ ~ or President. The Assistant Secretary shall perform the
~ ~iuties oi 5ncretary when the Secretary is absent.

~ e. The lreasurer shalt have custody of all of the property ~

~ evidences of indebtedness. lie shall keep the assessment =

~ ASSOCIATIO?~ in accordance with good accounting practices,

~ f. The compensation of all o~ficers and emp2oyees of tne

; provision shall not nreclude the Board of Directors from

~ nor preclude their contracting wi.th a Director for the ~
