denton, Florida selting price per gallon of all the chilled S+7 ~e grapefruit juice sold by the Buyer b een September 1
and Auguat 31 (after the above deductions) will be multiplied by the number of gallons yielded by all of the
fruit received irom all sources, Then, the per pound solids price for all auppliera equally will be arrived at by dividing such ot~al
pri~~ytee number of pounds of solids in the total gallons yielded. The amonnt owed by the Buyer to the Grower for the
Z grapefruit will be the price per pound of solida thus arrived at. times the pounds o[ solids yielded by the

t~- _ grapefruit delivered to and reoeived by the Buyer trom the Grawer. From this Snal price there shall be de-
ducted before payment, any cost o[ picking, loadiag, or transporting that may be due to the Buyer and less any Advances made and
1e_:s the proportionate amount of any State or Federal ta: measured by the amount of (ruit bought or processed by Buyer.
Fayment dae at such time will be made within 30 days of its determination.
The amount due [or the white Rrapefruit shal! be the Sna1 price tor all white g~pe[ru~t rere;~ed by the
Buyer ftom the Grower for the season. Promptly after a determination of such final price, the parties shall, by payment, settle the
amounta due betvreen them by October I5. This agreement will be binding upon the Buyer only after it hss been signed by the au-
thorized officer of Buyer.
Determination as to classi6cation, or as to quantity of fsuit received, or as to pounds of solids shall be as reported by daily
tests made by Florida State Inspectors, stationed at the premises ot the Buyer. Detetmination of the gailons of juice yielded wilt
E>e fhe amount of juice recovered by using the Buyer's ptoduction rerords, but the Buyer will not deduct tor spoilage, breakage or
any other ioas of juice after the fruit has been accepted and packaged by the Buyer.
The Buyer will submit to the Grower a 6gure determined by Buyer to be the per pound of solids price for the season and the
number of pounds of solids received from the Grower as reported by U.S.D.A, daily report. The figures submitted by Buyer wilt
ne retti6ed to by a C.P.A. firm. In the eveat that the Grower wishes to question such 6gures, he must do so within a period of
thirty (30) days of such notice; othetwise such 6gures shall be Snal and binding.
The within Agreement is to continue until one ot thepa rties gives to the other notice by registered or certi6ed mail of its in-
tention not to continue for the nezt season starting September l. For such notice to be eRective, it must be sent not later than June
30. Gmwer may not validly send any such notice while Gmwer is indebted to Buyer, If after the final determinatibn of amonnts
~~ue between the parties it shall develop that one oi the parties hereto is indebted to the other, ihe toregoing notice of termination,
if sent by the debtor, shall not be effective until said debtor ahall make [ull payment to the creditor. The growing season shall be the
~eriod from September 1 through July 15 of each year.
Grower warrants good title to the groves described in thia Agreement and to the (ruit produced in said groves, with law[u! riAht
to enter into this Agteement and Grower warrants that the (ruit wiit 6e Iree of any and all tiens and claims_ The individuals signing
ihis Agreement on behalf of the Grower represent that they have authority to do so.
