Whereas, Mr. N.A. I?ardin wis2:es to assiqn to Rardin Florida, Inc.
all his right, tftle znd interest under the aforesaid Joint Ventnre

S~ction 2 0: the aforeaa~d ~lodification to Joint Vent4re Agreement of
even date herewith, and
k'hereas, Hardin Florida, Inc. wishes to coa~ply with the requirements-
of such Section 2 of the afozesaid Modification to Registratien Aqreement
in orZer te perfect the assignment to it of the interest of Mr. N.A.Hardin
