ARTICLE IX
Every Director and every officer of the Aseociation ahall
be indar~mified by the Asaociation against all cxpenses and liabilities
including counsel fees, reasonable incurred by or ir~osed upon him
i in connection with any proceeding or the settlement of any proceeding

~ to wh3ch he may be a party, or in which he may become involved by
; reason of his being or having been a Director o r~3fficer of the

; Association, whether or not he is a Director or Officer at the time
