Arier~di~ents to these Articles of Incorporation shall be
proposed and adopted in the tollowing manner:
11.1 Notice of tlie sub~ect matter of a prapoaed amendment
st~all be included in the notice of uny meeting at which a propoaed
amenciment is to be considered. '
11.2 A resolution for the adoption of a propoaed amend.~nent
may be proposed either by the Board of Directors or by the members
of the Association. Directors and me~nbers not present in person or
by proxy at the meeting considering the amendment may express their
approval in v~~riting, prnviding such approval is delivered to the
Secretary at or prior to the meeting. E~ccept as elsewhere provided:
(a) Such approvals must be by not less than two-thirds ,
of ~he entire mer~bership of the Board. of Directors and by
not less than fifty-ane (51'_~ percent of the votes~of the
~ entire ?;~embership of the Association; or

~ 11.3 Provided, hawever, that no amendr~ent shall meke any
~ changes in the qua3ifications for membership nor the voting rights
~ of the r.ienbers, nor any change in Section 3.3 of Article III, without

~ approval in c,rriting by all memt~ers and the 3oinder of all record
~
~
~ owners of r~rtgages on the Condominium Units. No amendment shall be

~ made that is in conflict with the Condominium Act or the Declaration
~ of Condo?~inium. No a~nenclr.~ent shall t~e made without the corssent and

~ approval of the Developer so long as it shall own two or mor~

11.4 ~i copy of each amenc3rnent shall Le filed with the

~ Secretary of State, pursuant to the provisions of the applicable '
= Florida Statutes, and a copy certified by the Secretary of State
