mental levies an~i chdry~s, c3~~n~:r,~1 and speci~l, ordi~ary and
extraordin~~ry~ foraseen anci unfureseen~ of wha~ever kind and
nature, all of ~vhich ~~r~ her~~in.,fter called "taxes and assess-
ments". vrhich are c3SSE~sed~ levic~ci~ confirmed, imposed or
charged against tht D~mis~d Pr~~rnises for the year 1973 and
subsequent yt~~rs ciuring tha t~rms of this Lease. Payment of
all such tax~~5 an~i I~JSLSJ~TIC.~nts ~):all b~ made by the Lessee to
the Lessor within fif t~~n d:~ys cr ~1rit~c;a_ cl:.~mand therefore. ~
provided~ hovl~v~r, if any such t~~x or assessment is payable or
may be paid at the optiun~ p~y thc same together with any
accrued interest on the unpaid balance of any such tax or assess-
ment~ to the Lessor in installments no less than thirty (30)
days before the-sarne shall r~spectively become due and, provide, _
further~ that as to any tax or assessment applying to a fiscal
period of th~~ taxing authority wherein part of the period is
included within the ter?n of this L•~ase and a part of the tax
or assessment is for a period of time after termination of this
Lease~ the s~~id tax or assessment shall be probated and adjusted
betwe~n the Lessor and Less`~ us of th~ date of termination of
this Ledse.
b. Nothing in this Articl~ stial? obligate the Lease to
pay the inco~ne, inheritance, estate or succession tax. or any
~ther tax LV~I1CIl r~ay bc.~ levied or assessed against the Lessor
with respect to or because of thc income derived from this Lease,
excepting that in the event the State or Florida, or any political
~ subdivision thereoi, shall during the term of this Lease imposc
j a tax ar r,xcist~ on rents, and shall levy or assess the same
against thc L~ssor as ~ substitution in whole or in part for taxes
assessed or imposi~d by such State or political subdivision thereof
on land and buildings anci/or personalty, tha same shall be
deemed to b~ included within the term "taxes and assessments'~
; and the Less~e shall pay and discharge such tax or excise on
~ rent. Any obligation in tr?~ nature of a"sales tax" or "use
s tax" that sh~ll b~-come due or payable by reason of the rentals
~ payable by tt?c Lessee under the terms and provisions hereof shall
~ be the obliy~ti~n of dnd shall be paid by the Lessee. ,
; c. The Lessee shall hdve the right to contest the amount
= or validity Ut any t.~x or assessment and nothing herein shall
~ imply any right on the part of the lessee to defer or postpone
~ such pdyr,«:~;. ;or any such ~urpose unless such proceedings shall
~ operate to ~:rev~,nt cr st~~y the collection of the tax or ass~ss-
: ment so c~nt~,stad and the Lessee shall have deposited with the
~ Lessor the ~mount so c::nt~sted and unpaid, together with all
~ interest ana F,~nalties in connection therewith and all charges -
~ that may or miyt,t be assessed against or become a charge or lien
~ on th~ D~n~isf~d E r=-mises, cr any part thereof, by reason of such ,
~ contest or ~y r~~ascn af t?~~e delay in the payment of the tax
~ assessment which may result from such contest. Upon termination
- of such proc~~~•:inys, tht Lessor shall pay the amount of any such
x: tax or dssess,~ent or any par~ ther~of as shall be finally deter-
~ mined by such proceedings ~o be due and Fdyable, together with
any costs. f~-•5, interest, penalties or liabilities in
s connection tt?er~tivitt?, from the monies deposited by the Lessee,
' as aforesaid, and shall return any remaining sums to the Lessee '
without interest. If at ~ny time during the course of such `
c~ntest proceedings it shUll appear to the Lessor that the amount j
deposited by the Lessee.is or may be insufficient to pay in full
the amount cf the tax and assessment, together with all interest,
penalties and other charges which may b~ incurred by reason of the
