Directorie may be removed and vacanc3ea on the Bosrd shall be filled in
the menner provided by_the Bylaws.
8.3 The first electian of Directore ahall not be he~d until
Ft. P3erce Conatsvetian Co=porttion, a Flor~da corporatian hereafter
called the "Develoger", has clo~ed the ealer of sll 'of the Coindaninium
Unite, or untiZ the Developer elects to tern~inate its control of the
Association, or unt3l the annusl membership meeting fn November of 1976,
whichever occeire first. The Directur~ n~med in these Art~cles shall
eerve until the f3rst electior~ of directors, and any ~•ac~ancies in office -
occurring before the firat election ehall be filled by the remaining
Directors.
8.4 The namea and addre8ses of the members of the first
Board of Directore who ehall hold offic~ ur?fiil their auccessors are

~ery D3rector and every Officer of the Aesociatia~ shall be
indemnified by the Association ag8inet all expenses and liabilities
including counsel fees~ reasonably incurred by or ir~~oeed upvn him in
connection with any proceeding ar ~Che ~ettleraenfi of any proceeding to
wh~ch he may be a pa rty, or in which he may became involved by reason
of his being or having been a director or officer of the Aasociation,
whether or not he is a director or officer at the tirae such expenses are
ineurred~ except when the director or officer at the time such expensea
are incurred 3s ad3udged guilty of willful miaf~aeance ar mslfeasance
in the performance of hfa dutfes. The foregoing rig~t of indemnificati~ ~
ehall be in additio~ to and exclueive of all other righte and rem8dies
to which such Director or Officer msy be entitled.
