and in the event that the said Trustees may not unanimously
agree upon the eaercise of any poaer and authority herein
granted to them, then any one of said Trustees shall call
a meeting of all beneficial interest holders within 20 days
thereafter, by sending to each of the benef icial interest
holders at their addresses set forth herein, notice of such
meeting by registered mail. At such meeting, the power or
authority attempted to be exercised by such Trustees shall
be~presented to a vote of the benef icial interest holders,
and the Trustees shall be bound to exercise such power and
authority in accordance with the directions given to them ~
by the holders having in excess of Fifty (50`,~) Per cent in-
terest of the benef icial interest of the within Trust.
(5) That the said Trustees are to act, serve and
perform their duties as herein set forth without charge or
compensation of any-kind, and are to be allowed only such
reasonable expense as may be essential in the performance
! of their rights and duties herein, such as long-distance

~ telephone charges, traveling expenses, if any, in connection
~
~ with the sale of said property, and any part thereof, or in
$

~ connection with the management and control of said property.
~ After each of the Trustees has approved such reasonable ex-
~
~
~ penses, statements thereof will be sent to each of the benef i-
~ ciaries for the prorata portion thereof to be paid by them.
~
~ The Beneficiaries Will reimburse the said Trustees far their
~
~ prorata share within thirty (30) days from the receipt of such
statement.

~ (6) It is expressly understood and agreed, and
hereby declared that a Trust and not a partnership is hereby
~=a created; and neither the Trustees nor beneficiaries shall be

f~` liable hereunder as partners or otherwise.
