Neverthe2ess, Mortgagee will not withhold its consent to a change in ownership if the new owner or owners have a satis- factory credit standinq and qualified management ability to operate the property described in this mortgage, in Mortgagee's sole judqment as a prudent lender and the loan is not in default. In addition, if the new owriership is of only part of the rea2 estate, there shall be such a principal paydown on the loan as Mortgagee in its sole judgment as a prudent lender may require.
