employment and discharge of employees, and all other duties associated with
the office of General Manager, and for that purpose, he shall devote his full
time, attention, energies and efforts to the said business; the said HARRY

REINHART shall not directly or indirectly, whether as a shareholder, Partner,
associate, investor, employee or otherwise, engage in any other business or

occupation which shall be competitive with or interfere in any manner to the
detriment of the Partnership business so 2ong as he shall be a Partner,
exceptinq, however, the ownership of stock of a company traded on a major i

stock exchange, the ownership of income producing property, or the
performance by the.said HARRY REINHART of engineering or consulting services ;
for others so long as the same does not interfere with the performance of his
duties as General Manager of the Partnership business.

, (a) Make, draw, accept or endorse any
Promissory note or other engagement or obligation for the ~
payment of money, or guarantee any debt or account in . i
behalf of the Partnersliip, except drafts and checks issued ~

by the Partnership within the ordinary course of its business;
(b) Pledge the credit of the Partnership except
in the ordinany course of the Partnership business, or

use collateral or assets of the Partnership as security
