none of the said Partners shall interfere wlth the same or release any accounts.

4. All contracts and obligations then outstanding and unperforme
shall be fully completed and fully performed in the name and for the advantage
of and for the. profiti and at the expense of the Partnership, and profit made and
losses sustained thereby shall be divided in proportion to the Partners' ~

VoluntarY Retirement or Withdrawal

notice to the remaining Partners of his intention to retire or withdraw from.the i

Partnership, and such notice shall be effective at the close of the then ; `

. current accounting year; provided, however, that a Partner who shall retire or
withdraw from the Partnership within the period of eighteen (18) months fram
~ the date of this Agreement shall forfeit his capital account and his entire

~ interest in the Partnership,. excepting his income account, and he shall not

~ be entitled to demand or receive any payment or other consideration for his

~ interest in the Partnership, and such Partner shall not be entitled to invoke i

~ 2. Upon the electlon of the remaining Partner, within thirty (30) ~

~ days after the effective date of such retirement or withdrawal, and upon notice'

~ in writinq to the retiring or withdrawing Partner within the said thirty (30) day I

~ period, the remaining Partners may purchase the retirinq or withdrawing

~ Partner's interest in the Partnership business, and shall pay therefor as the
