shall be ineffective, and the Partner who served the notice of such intention
shall have the same rights as though the same had not been senved; the notice
of dissolution shall fix a date for the dissolut,~.on of the Partnership, which
. date shall not be later than sixty (60) days after the date of such notice, and
~ the Partnership shall dissolve as of such date and shall be liquidated with
~ reasonable promptness, under the supervision of all Partner~, and distribution
of the Partnership assets shall be made in accordance with Article VIII.

7. The retirinq or withdrawing Partner shall not, either directly or ~
