January, 1973, by and between EARL LEIFFER TRUCKING CO., INC., a
corporation organized and existing under the laws of the state
of Florida (hereinafter called the "Company"), and EARL M. LEIFFER,
HAROLD R. LEIFFER, JOHN M. MOORE, and DONN R. BOREN, as Trustees
(hereinafter sometimes ~alled the "Trustees");
W I T N E S S E T H:
WHEREAS, the Company is desirous of adopting a Profit-Sharing
Plan for the benefit of its employees; and
WHEREAS, this Agreement has been duly approved and authorized
by ~he Board of Directors of this Company,
NOW, THEREFORE, the Company and the Trustees agree as follows:
ARTICLE I

E Duties of 1.01 The Trustees shall receive any funds transferred
; Trustees to them by an Employer and shall hold, manage
~ and administer such funds, together with the
~ income therefrom and any other increment therein,
~ (all of which shall hereinafter be referred to
~ as the "Trust Fund"). The Trustees shall hold
~ the Trust Fund in trust and manage and administer
~ it in accordance with the terms and provisions of
ti this Agreement.
~ Plan is for 1.02 At no time shall any part of the corpus or income
~ the exclusive of the Trust Fund be used for or diverted to
~ benefit of purposes other than for one exclusive benefit of
~ the Employees such employees or their Beneficiaries.

~ Contribution 1.03 If the Plan and/or this Trust shall trot initially
- goes back to be approved and qualified by the Internal Revenue
t the Employer Service as meeting the requirements of the Federal

if Plan is Internal Revenue Code so as to permit the.Employer
:s disapproved to deduct for income tax purposes its contribu-
tions to the Trust, all of the Employer's contri-
~ butions to the Trust Fund under the terms of this
~ Trust, as amended, shall be returned to the Em-
ployer and this Trust shall be null and void.
