and "gross estate" shall h~tve the same ~eaning as said words have under
the provisions of the federal Internal Bavenue Code applicable to my .

My Executors sh~ll not include in aay wife's share any asset in ~

respect of which no marit~l deduction is allowable. The aforesaid per-
~
centage of my residuary estate constitutin; my wife's share shall be
ascertained from the deter~in~tions f inally arrived at for the purposes
of the federal estate tax - subject to such ad~ustment as may be neces-
sary to carry out the provisions of this will to the effect th~t my wife's
share shall not be reduced by ~ny estate, inheritance, tr~nsfer, succes-
sion, legacy or similar taxes - and such percenta~e shall be used in the
actual division and distribution of the incomo (from tho date of my death)
and principal of my residuary estate.
The decision of r~y Executor or Execu~tors as to whether my estate
shall be valued under the optional valuation provisions of the ~ederal
estate tax laws; as to what elections should be exercised; and as to
wha~ proceedings are necessary to complete the ascertainment of the Fed-

eral estate taa;, shall be conclusive and bindina upon all persons. ~'ot-
withst3nding any other provision of this Clill, in making distributions of
4 assets (which may include cash) in satisfaction of my wife's share, my
! yxecutor or Executors shall distribute assets fairly represeatative c~
