The amount owed by the Buyer to the Grower for the grapetruit will be the price per pound of solids thua arrived at. timee We pounds ot solids yielded by the grapefruit delivered to and received by the Buyer fmm the Gmwer. From th"~s final price there shalt be de- ducted before paymenk any cost of picking, loading, or transportin6 that maY be due to the Buyer and less any advances made and less the proportionate amount of any State or Federal taz measured by the amount of ftuit bought or proceseed by Buyer. Payment due at such time will be made witliin 30 days of ita determination. Promptly atter a determination of such final price, the parties ahall, by payment, settle the amounta due between them by October 15. This agreement will be binding upon the Buyer only after it haa been aigned by the au- thorized o9icer of Buyer. Determination as to classi6cation. or as to quantity of fruit received, or as to pounds of solids shall be as reported by daily tests made by Florida State Inspectors, stationed at the premises o[ the Buyer. Determination of- the gallons of jwce yielded wiU be the amount of juice recovered by using the Buyer a production records, but the Buyer will not deduct for spoilage, breakage or any other loss oE juice atter the fruit has been accepted and packaged by the Buyer. The Buyer will submit to the Grower a Sgure determined by Buyer to be the per pound of aolida price tor the seasoa and the number of pounds of solids received from the Grower as reported by U.S.D.A. daily repork The &gures submitted by Buyer will be certi6ed to by a C.P.A. firm. In the event that the Grower wishea to question-such figures. he must do so within a period ot thirty (30) days of auch notice; otherwise such figures shall be final and binding. The within Agreement is to continue until one of thepa rties gives to the other notice by registered or certi6ed mail of ita in- ~ tention not to continue tot the nezt season starting September 1. For such notice to be eSective. it must be sent not later thttn June ~ 30. Grower may not validly send any such notice while Grower ia indebted to Buyer. If a(ter the final determination of amounts i due between the parties it shall develop that one of the parties hereto is indebted to the other~ the fotegoing notice of termination, if sent by the debtor, shall not be eHective until said debtor shall make full payment to the creditor. The growing season shall be the period from September 1 through July 15 of each year. - ~ Grower warrants good title to the groves described in this Agreement and to the fruit produced in said groves, with lawful ri~ht ~ to enter into this Agreement and Grower warrants that the fruit wip be free ot aay and all liens and claims.
