FOR VALUE RECEIVED,.the undersigned p~omise to pc~y to the order of
DOBSON 8~ JOHNSON, INC., a Tenneuee corporation, the principnl sum of
ONE MILLION FOUR HUNDRED THOUSAND DOLLARS AND NO/100(51,400,000•00) i
together with interest f~om the date hereof at the rote of Thirteen and three--quarters
Percent (13-3/496) per annum until maturity, said inte~est rate to be adjusted from time
to time to a rote which shall be Four Pe~cent (496) over the prime interest rate or base
rote as chorged by the First National City Bank in New York, said interest being payabie
on the First Day of .lanuary, 1974, and the First Day of each month thereafter on the sums ;

outstanding, both principcl and interest being payable in lawful money of the United
States ct 311 Plus Park Boulevard, Nashville, Tennessee, or such other place os the holder
sholl designate in writing. The principat sum unde~ this Note, together with accrued
interest, if any, shall be due and payoble on or before one (1) year from date hereof.
Eac:~ maker and endorser severolly waives demand, protest and notice of maturity,
non-payment or protest and oll requirements necessary to hold each of them liable as
make~s ond endorsers.

~ Each maker and endorser further agrees, jointly and severally, to pay all costs of

~ collection, including o reasonable attorney's fee in case the principal of this Note, or
any payment on the principal or any interest thereon, is not paid at the respective
maturity thereof, or in case it becomes necessary to protect the security hereof, whether
suit be brought or not.
The Note ond deferred interest payments shall beor interest at the rate of Fiffieen
Percent (15%) per annum from maturity or defaul t until paid.
