hereby certifies that the following resolution was duly adopted
by the Trustees of the Trus~ on February 6, 1974, at a meeting
duly called and held at which a quorum was presented and acted
throughout, and such resoistin full forceeand8effect~on~theidate
reacinded or revoked and
hereof : '
"BE IT RESOLVED that the Trustees of Fidelity '
Mortgage Investors (the "Trust") do hereby delegate
to and su~horize and empower any member of the Exe-
cutive Com~aittee of the Trust, any ex officio mem-
ber of the Executive Committee of the Trust and any
officer of the Trust full suthority to execute, for
and on behalf of the Trust, any and all doc.uments
~nd instruments required to be executed by the Trust
in connection with the business and affairs of the
Trust, including, without limitation, contracts,
deeds, assigiunents, certificates, satisfactions~ re-
leases~ financing statements, conveyances~ loan agree-
ments and all other documents and instruments of any
nature~ the execution of any such documents and in-
struments by any of the aforesaid persons to be deemed
conclusive evidence of compliance with the terms and
conditions of this resolution."
The undersigned furthermore certiiies that the persons named ~
-below are, as of the date hereof, the duly elected~and qualified
members of the Executive Coumaittee of the Trust . ex officio mem- ~
bers of the Executive Conmaittee of the Trust. and officers- of the ;
